Candidate profile

Seasoned operating CEO: prior VP or GM who has run a product and go-to-market org through at least one venture-backed cycle. STUD's founder, Dan Schmitz, stays as technical founder; this spec is the offer STUD would extend if it brings in an operating CEO before the raise. Candidate is illustrative; the bands and terms are the real position.

Equity pct

25

Equity rationale

25% sits in the lower half of the seasoned pre-fundraise band (20 to 40%). STUD is pre-seed and pre-revenue with a working product (265 plays across 14 playbooks live), so the company is more than an idea: the CEO joins to scale a system that already runs, not to build one from zero. That earned traction is why the offer does not reach the top of the band.

Base salary

120000

Salary rationale

Deliberately below-market cash ($120,000, inside the 0 to $250,000 pre-fundraise band) until the target raise closes. STUD treats founder capital as zero and is pre-revenue, so cash discipline is the constraint; the equity stake carries the upside. Salary steps up to market by board resolution after a priced round of at least $1,000,000 (illustrative target, not a committed raise).

Acceleration
Single-trigger acceleration is excluded; double-trigger (change of control plus involuntary termination) accelerates 50% of unvested shares.

Control terms

  • Board composition at signing: three seats, held by the founder (Dan Schmitz), the incoming CEO, and one independent seat appointed by mutual consent.
  • Founder approval required for any sale, merger, or exclusive license of substantially all assets while the company remains pre-Series A.
  • CEO spending authority capped at $25,000 per single commitment pre-raise; anything above requires board approval.
  • New equity issuance above the reserved option pool requires unanimous board consent.
  • Termination for convenience requires a majority board vote in which the affected party does not vote.

Notes

Prepared as STUD.com's own offer spec. STUD is a registered trade name of TELEVORT INC, a Delaware corporation, so the offer is extended by that entity (pre-seed, pre-revenue soft launch). Salary and raise figures tied to the raise are illustrative and labeled as such; band placement and governance terms are the position STUD would sign.

Scope of the check

What's verified: Verifies the offer's equity and salary fall inside the band for the stated tier and timing, and that vesting and control terms are structurally complete. Does NOT judge whether the candidate is actually qualified for the tier, whether the band is right for this company's stage/sector, or whether the candidate will accept.
